Please read these Terms and Conditions ("Terms") carefully before using the websites, products, and services ("Platform") operated by UME Technology Inc. ("UMEVO", "we", "us", or "our").

Your access to and use of the Platform is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, customers, and others who wish to access or use the Platform. By accessing or using the Platform, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Platform or purchase our products/services.

Pricing and Order Terms

1. Product Prices and Availability

All product prices displayed on the Platform are subject to change without notice. Prices may vary based on region, active promotions, or inventory status. While UMEVO strives for accuracy, errors in pricing or descriptions may occur. In such events, we reserve the right to:

Cancel or modify orders placed at incorrect prices, even after order confirmation or payment;
Contact you to resolve the discrepancy or offer the option to purchase at the correct price.

2. Promotions and Discounts

Promotional offers, coupons, and discounts ("Promotions") are valid only under the stated terms and may be subject to expiration dates, minimum purchase requirements, or product exclusions. Promotions are non-transferable and cannot be combined with other offers unless explicitly stated. UMEVO reserves the right to modify or terminate Promotions at any time.

3. Taxes, Fees, and Payment

Unless otherwise stated, prices on the Platform include applicable taxes, duties, and fees. Shipping costs will be calculated and displayed at checkout. Payment must be made through accepted methods (e.g., credit cards, PayPal). We reserve the right to decline or cancel orders due to payment processing issues.

Subscription Terms and Cancellation

Membership subscriptions may be purchased either (i) directly via www.umevo.ai, or (ii) through third-party app stores (e.g., Apple App Store or Google Play).

App Store Purchases: If you purchase via an app store, that store’s terms regarding billing, renewal, and cancellation apply exclusively.
Website Purchases: If you purchase through our website, these Terms and our Cancellation Policy apply.

Subscription services are billed on a recurring monthly or annual basis. Subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date.

To cancel a website-purchased subscription, you may use the "Cancel Subscription" option in your account settings or contact us at support@umevo.ai. Refunds for partial subscription periods are not provided unless required by applicable law.

Order Cancellation and Returns

1. Order Cancellation

Before Shipment: You may cancel your order by contacting support@umevo.ai before you receive a shipment confirmation.
After Shipment: Once the shipment notification has been sent, orders cannot be canceled. However, you may initiate a return after delivery strictly in accordance with our return policy.

2. Returns and Refund Policy Overview

30-Day Returns: If you are unsatisfied with your purchase, you may return it within 30 days of delivery for a refund. Items must be in original condition with all packaging and accessories.
7-Day DOA (Dead on Arrival): If you receive a damaged or non-functional product, you may request a replacement or full refund within 7 days of delivery by providing supporting evidence.
Digital Products: Unused Annual Memberships or Transcription Quotas are eligible for a refund within 30 days of purchase if they have not been activated.

3. Refund Processing

Refunds are generally processed within 5–10 business days after we receive and inspect the returned items.

4. EU Consumer Rights

If you are a consumer residing in the European Union, you have the right to withdraw from your purchase contract within 14 days of receiving the goods without giving a reason. To exercise this right, email support@umevo.ai. We will refund payments (including standard delivery costs) within 14 days of being informed, though we may withhold reimbursement until the goods are received back.

Accounts

When you create an account with UMEVO, you guarantee that the information provided is accurate, complete, and current. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. Minors under 16 (EU) or 13 (US) require parental consent to use the Platform.

Intellectual Property

The Platform, including its original content, features, and functionality, remains the exclusive property of UME Technology Inc. and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of UME Technology Inc.

Links To Other Web Sites

The Platform may contain links to third-party websites not owned or controlled by UME Technology Inc. We assume no responsibility for the content, privacy policies, or practices of any third-party sites. You acknowledge that UME Technology Inc. shall not be liable for any damage or loss caused by your use of any third-party content or services.

Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Limitation Of Liability

To the maximum extent permitted by law, UME Technology Inc., its directors, employees, partners, agents, suppliers, or affiliates, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Nothing in this section affects statutory rights under applicable consumer protection laws (including EU consumer law).

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. UME Technology Inc. does not warrant that the Service will be uninterrupted, secure, or error-free.

Export Compliance

UMEVO products and services are subject to U.S. export control and economic sanctions laws. You agree not to access, use, export, or re-export our products or services in violation of such laws, including those administered by OFAC or BIS.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. If you are a consumer, you may be entitled to mandatory consumer protection laws in your country of residence.

Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email or the Platform. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
